1. Introduction & Scope

The Master Services Agreement (MSA) is the primary contract that defines our business relationship. It covers the use of the RevSyn AI software platform, implementation services, and ongoing revenue cycle management support. The MSA ensures both parties have a clear understanding of the goals, timelines, and deliverables for your revenue recovery journey.

2. Mutual Responsibilities

Successful revenue recovery requires collaboration. The MSA outlines:

  • RevSyn AI Responsibilities: Maintaining platform uptime, providing technical support, and executing RCM workflows as defined.
  • Customer Responsibilities: Providing necessary system access, maintaining accurate clinical documentation, and participating in periodic performance reviews.

3. Data Protection & Confidentiality

We prioritize the confidentiality of your business and patient data. Our MSA includes robust non-disclosure provisions and references our Security Policy and Business Associate Agreement (BAA) to ensure full HIPAA compliance and data integrity.

4. Service Availability & Support

We understand that RCM is a 24/7 priority. Our MSA outlines our commitment to platform availability (SLAs) and describes our support tiers, ensuring your team always has access to the expertise needed to keep revenue flowing.

5. Fees, Billing & Payment

RevSyn AI uses a performance-aligned fee structure. While specific pricing is detailed in your individual Order Form, the MSA establishes the general terms for billing cycles, payment methods, and the transparent reporting we provide to justify every invoice.

6. Intellectual Property

RevSyn AI retains ownership of its platform, AI agents, and proprietary workflows. Customers are granted a non-exclusive license to use the platform for their internal RCM operations. All data provided by the Customer remains the sole property of the Customer.

7. Acceptable Use Guidelines

To maintain the security and integrity of our platform, the MSA restricts certain activities, such as reverse engineering, unauthorized data scraping, or using the platform in a manner that violates healthcare regulations.

8. Term & Termination

Our agreements typically feature an initial term with automatic renewal options. The MSA also defines the conditions under which either party may terminate the agreement for cause or convenience, including the orderly transition of data and workflows.

9. Limitations of Liability

As is standard in enterprise software agreements, our MSA contains balanced provisions regarding limitations of liability and disclaimers to protect both RevSyn AI and our customers.

10. Governing Law
